This Agreement by and between WEB MEDIA ENGINEERING, INC. (Designer), and (Client), is for the purpose of assigning copyright ownership to an Internet Web site (Website). For Agreement purposes the Website shall be divided into four distinct units:

1) The text and graphics that are seen in a Web browser when viewing the Website (Content)
2) The data residing in non-Zope databases and the data residing in the data folders in the Zope databases that is used to render the Website (Data)
3) The software code that is run by Web server software to format the Website (Code)
4) The database structure that resides on a Web server computer and holds the Data (Database Structure).

Because the Designer benefits from and supports the Free Software Foundation, the Code and the Database Structure of the Website are copyrighted under the GNU General Public License, a copy of which may be obtained by writing to the Free Software Foundation, Inc., 59 Temple Place - Suite 330, Boston, MA 02111-1307, USA, or at http://www.gnu.org/copyleft/gpl.html

The Designer assigns to the Client exclusive and perpetual copyrights of the Content and Data of the Website upon the Client's full payment of the Contract fee prior to the Client's usage of the Website.

The Website is distributed in the hope that it will be useful, but WITHOUT ANY WARRANTY; without even the implied warranty of MERCHANTABILITY or FITNESS FOR A PARTICULAR PURPOSE; See the GNU General Public License for more details.

If the Website fails, the Designer will take all reasonable steps to repair the functionality of the Website as quickly as is reasonable.
